CEF GATEWAY — END USER LICENSE AGREEMENT Version 1 — Effective 2026-05-16 IMPORTANT — READ CAREFULLY BEFORE USING THIS SOFTWARE. This End User License Agreement ("Agreement") is a binding legal contract between you ("Licensee", "You", or "Your") and CEF Technology, the licensor of the CEF Gateway software, firmware, agent, platform, web interfaces, documentation, and any updates or related materials (collectively, the "Software"). By installing, copying, accessing, operating, or otherwise using the Software, You agree to be bound by the terms of this Agreement. If You do not agree, do not install, copy, access, operate, or use the Software, and immediately destroy all copies in Your possession. 1. GRANT OF LICENSE Subject to Your continuing compliance with this Agreement and Your maintaining a current, paid, and active license issued by CEF Technology for the specific hardware device on which the Software is installed, CEF Technology grants You a non-exclusive, non-transferable, revocable, limited license to install and operate the Software solely on the hardware device that is uniquely identified by the hardware fingerprint recorded by CEF Technology's licensing platform at the time of registration (the "Authorized Device"). 2. RESTRICTIONS — PROHIBITED ACTS You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, deobfuscate, decrypt, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction; (b) copy, reproduce, replicate, distribute, sublicense, lease, rent, sell, resell, transfer, assign, host, or make available the Software, in whole or in part, to any third party, whether for commercial or non-commercial purposes, except for a single backup copy retained solely for archival purposes; (c) modify, adapt, translate, port, or create derivative works of the Software, including any modification of the cef-agent, gateway server code, platform server code, configuration files, license cache, or the device fingerprint reported to the licensing platform; (d) circumvent, disable, bypass, or interfere with any technical measure designed to protect the Software, control access to the Software, or enforce the licensing terms, including but not limited to the hardware fingerprint binding, the periodic heartbeat license verification, the encrypted service state cache, or the heartbeat activity gate; (e) operate the Software on hardware other than the Authorized Device, clone the storage media of the Authorized Device to another device, or otherwise relocate or duplicate the Software in a manner that results in the Software running on hardware not registered and individually licensed by CEF Technology; (f) remove, alter, or obscure any copyright, trademark, license, attribution, or other proprietary notices contained in or displayed by the Software; (g) use the Software to develop a competing product or service, or use the Software in any manner that violates any applicable law, rule, or regulation. 3. LICENSING AND ENFORCEMENT The Software periodically validates its license status against CEF Technology's licensing platform. The Software is designed to suspend stream output, registration, and command execution if (i) no valid license is associated with the Authorized Device, (ii) the license has been revoked or has expired, (iii) the hardware fingerprint reported by the Software does not match the fingerprint recorded at the time of license issuance, (iv) the periodic heartbeat to the licensing platform has been interrupted for an extended period, or (v) the Software detects unauthorized modification of its own code. You acknowledge that these enforcement mechanisms are a material and essential element of this Agreement. 4. OWNERSHIP The Software is licensed, not sold. CEF Technology retains all right, title, and interest in and to the Software, including all intellectual property rights therein. All rights not expressly granted to You under this Agreement are reserved by CEF Technology. 5. UPDATES AND CHANGES CEF Technology may, at its sole discretion, deliver updates, patches, feature additions, or removals to the Software. Such updates are subject to the terms of this Agreement unless accompanied by a separate license agreement, in which case the terms of that separate agreement will govern. 6. TERM AND TERMINATION This Agreement is effective from the date You first install, access, or use the Software and continues until terminated. CEF Technology may terminate this Agreement immediately, without notice, if You fail to comply with any term of this Agreement. Upon termination, the license granted under Section 1 will immediately cease, and You shall immediately discontinue all use of the Software and destroy all copies in Your possession or control. Sections 2 through 4 and 7 through 11 survive termination. 7. CONFIDENTIALITY You shall treat the Software, including any documentation, build artifacts, source code, configuration secrets, license keys, signing keys, and platform credentials, as confidential information of CEF Technology and shall not disclose any portion thereof to any third party without the prior written consent of CEF Technology. 8. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. CEF TECHNOLOGY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE. 9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CEF TECHNOLOGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, REVENUE, DATA, USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF CEF TECHNOLOGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CEF TECHNOLOGY'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO CEF TECHNOLOGY FOR THE LICENSE TO THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 10. EXPORT AND COMPLIANCE The Software is subject to United States export control laws and regulations. You shall not export, re-export, or transfer the Software, directly or indirectly, to any country, person, or entity in violation of any United States, state, or foreign export laws or regulations. 11. GOVERNING LAW AND VENUE This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. Any action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in the State of Delaware, and You hereby consent to the exclusive jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply. 12. ENTIRE AGREEMENT; SEVERABILITY This Agreement constitutes the entire agreement between You and CEF Technology regarding the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. 13.
